Who Qualifies As An Accredited Investor?
As defined in Rule 501 of Regulation D:
A natural person who has individual net worth, or joint net worth with the person's spouse, that exceeds $1 million (excluding the value of your primary residence);
A natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; or
A bank, insurance company, registered investment company, business development company, or small business investment company;
An employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decision, or if the plan has total assets in excess of $5 million;
A charitable organization, corporation, or partnership with assets exceeding $5 million;
A director, executive officer, or general partner of the company selling the securities;
A business in which all the equity owners are accredited investors;
A trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes.

New Laws and Regulations…
In an effort to ease regulatory burdens on smaller companies and facilitate capital formation, President Obama enacted the Jumpstart Our Business Startups (JOBS) Act on April 5, 2012. The JOBS Act includes a number of measures to facilitate capital formation, including:
1. An initial public offering (IPO) on-ramp for a new category of issuer, “emerging growth companies.”
2. Removal of the prohibition against general solicitation and general advertising in certain private placements.
3. A new exemption under the Securities Act of 1933, as amended (Securities Act), for crowdfunding offerings.
4. An amendment to the Securities Act (informally referred to as Regulation A+) permitting companies to conduct offerings to raise up to $50 million through a “mini-registration” process similar to Regulation A.
5. Higher triggering thresholds for Securities and Exchange Commission (SEC) reporting obligations under the Securities Exchange Act of 1934, as amended (Exchange Act).
